The complaint

SharkNinja Operating LLC v. Comercializadora y Abastecedora Mini Precios, S.A. de C.V., No. 1:26-cv-14901 (D. Mass.), is a 14-page Complaint and Jury Demand filed October 29, 2026, ECF No. 1. The complaint states that it makes all of its allegations upon information and belief. SharkNinja is a Delaware limited liability company based in Needham, Massachusetts. The complaint alleges, upon information and belief, that Mini Precios is a Mexican sociedad anónima de capital variable based in Mexico City. It pleads federal-question jurisdiction under 15 U.S.C. § 1121 and 28 U.S.C. §§ 1331 and 1338(a) and (b), diversity jurisdiction under 28 U.S.C. § 1332(a), and venue under 28 U.S.C. § 1391.

The marks

The complaint lists four registrations among the SharkNinja Marks, which it describes as marks used with household and cleaning products and accessories. USPTO TSDR shows each as a live Principal Register registration owned by SharkNinja Operating LLC: SHARK, Reg. No. 4,329,299, registered April 30, 2013, for electric sweepers and electric mops for residential use in Class 7; SHARK, Reg. No. 2,771,850, registered October 7, 2003, for vacuum cleaners and multi-purpose steam cleaning machines for domestic use in Class 7 (TSDR lists its Class 9 goods, steam irons and electric irons, as cancelled under Section 8); SHARK IQ ROBOT in stylized lettering, Reg. No. 6,131,311, registered August 18, 2020, for vacuum cleaners, robotic vacuum cleaners, and related parts and accessories in Class 7; and NINJA in stylized lettering, Reg. What SharkNinja alleges

According to the complaint, the parties signed a distribution agreement on December 19, 2018 and a Transition Agreement on February 7, 2025 that ended the distribution relationship effective April 1, 2025, with Mini Precios allowed to sell certain unsold inventory only until September 1, 2025. SharkNinja alleges that about $4,000,000 of the purchase price for products it supplied remains unpaid, subject to an offset, despite demands in September 2026. It alleges, upon information and belief, that Mini Precios continued to sell SharkNinja products after September 1, 2025, and that it advertises SharkNinja products bearing the marks on online marketplaces including Mercado Libre, under seller names "MINIPRECIOS" and "SHARK por MINIPRECIOS," for purchase and delivery in the United States. It alleges that products intended for resale in Mexico often differ materially from those authorized for sale in the United States. The complaint also alleges that Mini Precios demanded MXN $197,317,181.52 in retailer adjustments on March 31, 2026, and, upon information and belief, filed a proceeding in Mexico and obtained, without notice, a Mexico City court order freezing about that amount in a SharkNinja affiliate's bank accounts, which SharkNinja learned of in October 2026.

Counts and relief
